Affiliate Terms of Service

1. Acceptance of Terms
By enrolling in, accessing, or participating in the VowProof Affiliate Program (“the Program”), operated by VowProof LLC (“VowProof,” “we,” “us,” “our”), you (“Affiliate,” “you,” “your”) agree to be bound by these Affiliate Terms of Service (“Affiliate Terms”). These Affiliate Terms supplement — and do not replace — VowProof's general Terms of Service and Privacy Policy, both of which apply to your participation in the Program. If you do not agree to these Affiliate Terms, do not enroll in or use the Program.
2. Program Description
The Program enables approved individuals or businesses to promote VowProof in exchange for a recurring commission on referred customer payments. The Program is administered through Rewardful (a third-party affiliate management platform); tracking, payouts, and tax documentation are handled by Rewardful on behalf of VowProof.
3. Eligibility
To participate in the Program, you must:
- Be at least 18 years old or the age of legal majority in your jurisdiction
- Have a valid email address and the legal right to enter into contracts in your country of residence
- Submit accurate identification and tax information when requested (a U.S. W-9 form for U.S. residents earning $600 or more in a calendar year; a W-8 or equivalent for non-U.S. residents)
- Comply with these Affiliate Terms and all applicable laws
The Program is currently invite-only. Submitting an application does not guarantee acceptance. VowProof reserves the right to approve or reject any application at its sole discretion.
4. Affiliate Codes and Tracking
Upon acceptance into the Program, you will receive:
- A unique referral URL (e.g.,
https://vowproof.com/?via=yourcode) - A unique discount coupon code (e.g.,
YOURCODE20) tied to your account
When a prospective customer visits VowProof through your referral URL, a tracking cookie is placed in their browser for 60 days. If they sign up for a paid VowProof subscription within that window — or enter your discount coupon code at checkout regardless of cookie — the resulting customer is attributed to your account.
You may share your referral URL and discount code on your own website, blog, social media accounts, email newsletters, podcasts, videos, and similar channels, subject to the restrictions in Sections 6 and 7.
5. Commissions and Payouts
- Commission rate: 25% of each paid invoice from a referred customer, for the first 24 months following the customer's initial subscription
- Hold period: Commissions are pending for 30 days after each customer invoice is paid before becoming eligible for payout. This buffer accounts for customer refunds and chargebacks
- Minimum payout: $50 USD. Earned commissions below this threshold roll over until the threshold is met
- Payout cadence: Monthly, processed through Rewardful's configured payment rail (e.g., Wise, PayPal, or Stripe Connect). You are responsible for maintaining accurate payout information in your Rewardful account
- Refunds and chargebacks: If a referred customer receives a refund, issues a chargeback, or disputes a payment, the corresponding commission will be reversed. If the commission has already been paid out, the reversed amount will be deducted from your next payout
- Currency: All commission amounts are denominated in U.S. dollars (USD). International payouts may incur currency conversion fees charged by the payment processor; these fees are not the responsibility of VowProof
The current commission rate, hold period, minimum payout, and other Program parameters are visible in your Rewardful affiliate dashboard. VowProof reserves the right to modify these parameters with 30 days' notice; modifications will apply to new referrals tracked after the change date.
6. Promotional Restrictions
You may NOT:
6.1 Misrepresentation and false claims
- Make false, misleading, or unsubstantiated claims about VowProof, its features, pricing, or performance
- Impersonate VowProof or imply an employment, partnership, or sponsorship relationship beyond that of an independent affiliate
- Suggest that VowProof endorses your business, content, or brand beyond the scope of the affiliate relationship
6.2 Trademark and paid search restrictions
- Bid on the terms “VowProof,” “vowproof.com,” or any close variant in Google Ads, Bing Ads, or other paid search platforms
- Use VowProof trademarks, logos, or brand assets except as expressly authorized in writing or via brand assets that VowProof provides to you on request
- Register or use domain names containing the term “VowProof” or close variants
6.3 Spam and unauthorized distribution
- Send unsolicited bulk email (“spam”) promoting VowProof or your affiliate code. All email promotion must comply with the CAN-SPAM Act (U.S.) and equivalent anti-spam laws in your jurisdiction
- Post your affiliate code in forums, comment sections, or community spaces in violation of those venues' rules
- Use software, bots, scripts, or automated systems to drive traffic, generate referrals, or stuff cookies
6.4 Self-referral and fraud
- Refer yourself, members of your immediate household, or businesses you own or control (commissions on such referrals will be voided and may result in immediate termination)
- Engage in cookie stuffing, click fraud, fake-click traffic, incentivized clicks (paying users to click your link), or any other attribution fraud
- Use Program tracking in combination with discount-coupon “deal” or “promo code” sites that primarily aggregate codes for arbitrage rather than genuine referral
6.5 FTC disclosure requirements (U.S. affiliates and U.S.-targeted content)
- Disclose your affiliate relationship clearly and conspicuously in any content where you promote VowProof or share your referral URL or discount code. This is required by the Federal Trade Commission's Endorsement Guides (16 CFR Part 255)
- Acceptable disclosures include: “#ad”, “Paid partnership with VowProof”, “Affiliate link”, “I earn a commission when you sign up through this link,” or substantively equivalent language
- Disclosure must be visible before the user clicks or engages with the affiliate content (e.g., at the top of a blog post, not buried in a footer; in the same caption as a social post, not in a separate comment)
- Failure to disclose constitutes a violation of these Affiliate Terms and may result in termination without payout of pending commissions
7. Brand Use
On request, VowProof will provide you with brand assets (logos, screenshots, approved marketing copy) appropriate to the content you are creating. You may use these assets solely to promote VowProof under the Program, subject to the following:
- Do not modify, distort, recolor, or alter the proportions of VowProof logos or marks
- Do not combine VowProof marks with your own logos in a way that suggests merger or joint branding
- Do not use VowProof marks in any context that is unlawful, defamatory, obscene, or harmful to VowProof's reputation
- Promotional copy you write should be accurate; if you describe a feature, that feature must currently exist in the Service
All goodwill arising from your use of VowProof marks inures to VowProof. This Section survives termination of these Affiliate Terms.
8. Tax Obligations
You are an independent contractor, not an employee, agent, or joint venturer of VowProof. You are solely responsible for all taxes (income, self-employment, sales, value-added, or otherwise) on commissions you earn.
- U.S. affiliates: If your annual Program earnings reach $600 or more in a calendar year, you must submit a completed Form W-9 to Rewardful before further commissions are paid out. VowProof (via Rewardful) will issue you a Form 1099-NEC for that calendar year by January 31 of the following year
- Non-U.S. affiliates: You may be required to submit a Form W-8BEN (individual) or W-8BEN-E (entity) before commissions are paid out. Rewardful will prompt you for the appropriate form
Failure to provide required tax documentation when requested will result in suspension of payouts until the documentation is received. Commissions held due to missing tax documentation do not earn interest.
9. Confidentiality
In the course of participating in the Program, you may receive non-public information about VowProof, including but not limited to product roadmap, pricing details not yet public, customer lists or referral analytics from your dashboard, and Program rules not yet announced publicly (“Confidential Information”). You agree to:
- Use Confidential Information solely to perform your obligations under these Affiliate Terms
- Not disclose Confidential Information to any third party without VowProof's prior written consent
- Treat Confidential Information with the same degree of care you treat your own confidential information, but in no event less than reasonable care
Confidential Information does not include information that is: (a) publicly known through no fault of yours; (b) rightfully received from a third party without confidentiality obligation; or (c) independently developed by you without use of Confidential Information.
This Section survives termination of these Affiliate Terms for two (2) years.
10. Termination
Either party may terminate participation in the Program at any time, with or without cause, by giving written notice to the other (email is sufficient).
VowProof may suspend or terminate your participation immediately, without notice, if VowProof reasonably believes you have:
- Violated these Affiliate Terms, VowProof's general Terms of Service, or applicable law
- Engaged in fraudulent, deceptive, or harmful activity
- Damaged or threatened to damage VowProof's reputation, brand, customers, or other affiliates
10.1 Effect of termination
- You must immediately stop using VowProof marks, your referral URL, and your discount coupon code
- VowProof will pay out commissions that have completed the 30-day hold period and met the minimum-payout threshold at termination, subject to the offset rights below
- Commissions still within the hold period at termination will continue to be subject to refund-and-clawback adjustments and will be paid out (if applicable) once the hold period expires and the minimum-payout threshold is met
- If termination is for cause (Section 10 paragraph 2), VowProof may at its discretion withhold or void pending commissions, including paid commissions subject to clawback for fraudulent activity
11. Disclaimer of Warranties
THE PROGRAM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR AVAILABILITY. VOWPROOF DOES NOT WARRANT THAT THE PROGRAM, REWARDFUL'S TRACKING, OR YOUR AFFILIATE DASHBOARD WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF MALICIOUS COMPONENTS.
VOWPROOF MAKES NO REPRESENTATION OR WARRANTY THAT ANY SPECIFIC NUMBER OF REFERRALS, COMMISSIONS, OR PAYOUTS WILL RESULT FROM YOUR PARTICIPATION.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL VOWPROOF, ITS AFFILIATES, OFFICERS, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, OR DATA — ARISING OUT OF OR RELATED TO THE PROGRAM, THESE AFFILIATE TERMS, OR YOUR PARTICIPATION, EVEN IF VOWPROOF HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
VOWPROOF'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE AFFILIATE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL COMMISSIONS PAID TO YOU IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).
13. Indemnification
You agree to defend, indemnify, and hold harmless VowProof and its affiliates, officers, directors, and employees from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorneys' fees) arising from:
- Your participation in the Program
- Your violation of these Affiliate Terms, VowProof's Terms of Service, or applicable law
- Your promotional content, including any claim that your content infringes a third party's intellectual property, privacy, or publicity rights
- Your failure to disclose the affiliate relationship as required by Section 6.5
14. Governing Law and Dispute Resolution
These Affiliate Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Any dispute arising out of or related to these Affiliate Terms will be resolved exclusively in the state or federal courts located in Dutchess County, New York, and you consent to the personal jurisdiction of those courts.
15. Modifications
VowProof may modify these Affiliate Terms at any time by posting an updated version at the URL where these Affiliate Terms appear and emailing notice to your registered Affiliate email. Material modifications take effect 30 days after notice; non-material modifications (clarifications, formatting, typo corrections) take effect immediately.
Your continued participation in the Program after the effective date of any modification constitutes acceptance of the modified Affiliate Terms. If you do not agree to a modification, your sole remedy is to terminate your participation under Section 10.
16. Independent Contractor
You and VowProof are independent contractors. Nothing in these Affiliate Terms creates a partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and VowProof. You have no authority to make or accept any offers or representations on behalf of VowProof.
17. Assignment
You may not assign, transfer, or sublicense your rights or obligations under these Affiliate Terms without VowProof's prior written consent. VowProof may assign these Affiliate Terms freely.
18. Entire Agreement
These Affiliate Terms, together with VowProof's general Terms of Service and Privacy Policy, constitute the entire agreement between you and VowProof regarding the Program and supersede all prior agreements and understandings, whether written or oral.
19. Severability
If any provision of these Affiliate Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid or unenforceable provision will be deemed modified to the minimum extent necessary to make it valid and enforceable.
